The Research Of The Effects Of Characteristics Of The Board Of Directors On The Company Performance
Abstract：The feature of the board of directors is an important part in corporate governance, the study the characteristics of the board of directors should occupy an important position in the corporate governance, a perfect system of the board of directors plays a vital role in improving the enterprise performances and management. Therefore, the relationship between the characteristics of the board of directors and enterprise performances has been the focus of domestic and foreign scholars on enterprise performance researches. Comparatively speaking, domestic researches on this aspect started later, and the research results were different. This article will conduct an empirical study based on the data of agricultural quoted companies in 2011-2015, in order to explore the relationships between the size of the board of directors, the set of presidents and general managers, the directors’ reward, the frequency of board meetings, the proportion of independent directors and corporate performance.

董事会特征与企业绩效关系研究——基于农业上市公司的经验证据
董事会是一个上市企业的“决策命脉”，对一个企业的运转良好起到了决定性作用。在目前国内外的研究中，有很多经济学者将董事会特征和企业绩效相关联，以期寻找到两者之间的关系。但从目前的研究结果来看，关于两者之间的关系还没有得出一个统一的结论。同时，农业企业作为我国经济发展转型的重要一环，对其绩效的研究应当是至关重要的，纵观国内学者的研究，似乎并没有太多研究者将农业企业作为研究对象。
